As a member in Eastman & Smith’s Mergers & Acquisitions, Business Law, Real Estate and Health Care Practice Groups, and currently serving as the chair of the Personnel Committee of the Firm, Breanne M. Rubin sees the value of practical and strategic solutions. Her practice focuses on several areas of law.
Business Law and Mergers & Acquisitions
She represents clients of all sizes on a wide range of corporate matters, such as:
- entity formation and governance;
- mergers, acquisitions;
- joint ventures;
- venture capital;
- private placements;
- commercial contracts;
- succession planning;
- regulatory matters;
- information security; and
- drafting and negotiating contracts of all types.
Real Estate
Ms. Rubin’s experience representing clients in commercial real estate transactions encompasses all forms and sizes of transactions, with an emphasis on commercial real estate development and investment arrangements.
Health Care
Helping her health care clients navigate the confusing and ever-changing regulatory landscape of the health care industry is the crux of Ms. Rubin’s health care practice. As counsel to a variety of different types of health care providers, both emerging and established, Ms. Rubin frequently advises health care providers on:
- corporate, transactional and regulatory compliance needs;
- compliance issues including Stark Law, Anti-Kickback Statute, False Claims Act and other fraud and abuse regulations;
- HIPAA, 42 CFR Part 2;
- licensing;
- tax exemption;
- corporate practice of medicine prohibitions; and
- other federal and state laws.
Ms. Rubin lives in Toledo, Ohio, with her husband, Matt, and their young children.
